Terms of service

The rules for using Shuq, a marketplace operated by GARCINI MEDIA Inc.

Who you are contracting with

Shuq is the working product and marketplace name used by GARCINI MEDIA Inc., a corporation based in Québec, Canada. In these terms, “Shuq”, “we”, “us”, and “our” mean GARCINI MEDIA Inc.

These terms form an agreement between you and GARCINI MEDIA Inc. when you create an account or use an authenticated marketplace feature. If you use Shuq for a company, you confirm that you have authority to bind that company.

What Shuq is

Shuq is a marketplace. Companies publish sales opportunities and state what a successful sale is worth. Independent sellers choose which opportunities to work.

GARCINI MEDIA Inc. operates the marketplace and administers collection and seller payouts, but is not the seller of a listed company’s product or service. The underlying customer sale is between the listing company and its customer.

Accounts

One person, one account. An account may hold both a seller profile and a company workspace.

During the pilot, companies and opportunities are reviewed by hand before they go live. You must have legal capacity to enter this agreement and provide accurate, current information.

Fees

Shuq does not charge sellers a platform fee. The advertised reward is the amount transferred to the seller’s Stripe balance, before any applicable tax, currency conversion, or external provider fee.

Companies choose between a performance plan, where GARCINI MEDIA Inc. charges the disclosed percentage of the seller reward once the customer has paid, and a paid monthly plan with no success fee. The price and fee shown before acceptance govern if they differ from an example in these terms.

Before saving a payment method, a company administrator explicitly authorizes GARCINI MEDIA Inc. to debit the seller reward plus the disclosed Shuq platform fee when the company confirms customer payment. A recurring reward is debited monthly for the number of months frozen in the seller's accepted opportunity terms.

That authorization also covers a commission upheld under the confirmation window described below. GARCINI MEDIA Inc. never transfers a reward it has not first collected, so upholding a commission starts a collection from the company; it does not create a payment Shuq funds itself.

Changing or removing a payment method does not cancel seller rewards already earned. Failed commission debits are retried only after a usable method is restored, and Shuq never transfers an unfunded reward.

Confirming a won deal

When a seller marks a deal won on a listing, Shuq records the seller reward owed under the opportunity terms the seller accepted, and the company is asked to confirm that its customer paid. The company has the window shown in its workspace, currently fourteen days from the win, to confirm the payment or to mark the deal lost with a written reason.

If neither happens within that window, the case is escalated for review by GARCINI MEDIA Inc. A reviewer examines the recorded deal history and may uphold the commission, give the company further time, or close the commission where the customer payment cannot be established. An upheld commission is collected from the company on the authorization described above and released to the seller through the ordinary hold and payout process.

Escalation opens a review; it never settles one automatically. No commission is charged by the passage of time alone.

Confirmation outcomes are published in aggregate on a company profile, including the share of decided wins it confirmed, how long confirmation took on average, and how many wins are currently unanswered past their deadline.

Conduct

Sellers must represent a product accurately and may not make claims beyond what the company's sales kit states.

Registering prospects a seller has no intention of working, in order to hold attribution, is grounds for removal.

Companies must confirm payment honestly and within the stated window, and must give a written reason when marking a won deal lost. Withheld confirmations are escalated, published on the company profile, and can end an account.

Ending it

A seller can stop selling a listing at any time. Prospects they registered stay attributed to them until the window closes.

Either side can close an account. Commission already earned on a verified payment is still owed.

Service providers and availability

Shuq relies on service providers, including Supabase for account and database services, Stripe for billing, identity verification and payouts, and an email delivery provider. Their services may be governed by their own terms and privacy notices.

We work to keep Shuq available and accurate, but the service may occasionally be interrupted or changed. Nothing in these terms excludes a right or remedy that applicable law does not allow us to exclude.

Governing law and contact

These terms are governed by the laws applicable in Québec and the federal laws of Canada applicable there, subject to any mandatory law that applies to you. Disputes are submitted to courts with jurisdiction in Québec unless mandatory law requires otherwise.

This is version 1.3. Seller-agreement and debit-authorization acceptances are recorded with the version and terms presented at the time of acceptance. A material future change may require a new acceptance.
