Independent seller agreement

The agreement between an independent seller and GARCINI MEDIA Inc. before starting a listing.

Parties and scope

This agreement is between you and GARCINI MEDIA Inc., a Québec, Canada corporation operating the Shuq marketplace. “Shuq”, “we”, “us”, and “our” mean GARCINI MEDIA Inc.

Each opportunity also has listing-specific terms, including the reward, attribution window, and any recurring duration. The version and listing terms you accept are recorded when you enroll.

You are independent

You are an independent seller. You are not an employee, worker, agent, or partner of GARCINI MEDIA Inc. or of any company whose opportunity you accept.

You decide which opportunities to take, when you work, how you sell, and what tools you use. Nobody sets your hours or supervises your method.

You are responsible for your own taxes, insurance, and any registration your country requires.

How you get paid

You are paid per result, as stated on the listing you accepted. There is no retainer, salary, or minimum.

A commission becomes payable once the customer has paid the company and GARCINI MEDIA Inc. has collected the funded reward through Shuq.

Your reward is recorded the moment a deal is marked won, before the company confirms anything, and is frozen at the terms you accepted. If the company neither confirms nor contests the deal within the stated window, the case is escalated to GARCINI MEDIA Inc. for review — you do not need to raise a dispute for that to happen — and the commission may be upheld and collected without the company's confirmation. Where the customer payment cannot be established the commission may instead be closed, which does not affect your attribution or your track record.

Shuq does not retain a platform fee from your reward. The amount shown on a listing is transferred to your Stripe balance before any applicable tax, currency conversion, or external provider fee.

Payouts are made through Stripe. You must complete Stripe’s identity, tax, and payout requirements and keep your payout information current. Bank timing and availability can depend on Stripe and your financial institution.

Attribution

Registering a prospect reserves it for you for the window stated on the listing, typically 30 days.

Meaningful logged activity extends that window. Silence lets it lapse and returns the prospect to the pool.

Where two sellers claim the same prospect, the first properly registered eligible lead holds attribution. Ambiguous cases are reviewed by Shuq by hand.

Representing a product

Sell only what the company's sales kit supports. Do not invent capabilities, customers, pricing, or timelines.

You may not sign contracts, accept payment, or make binding commitments on a company's behalf unless that company gives you written authority.

Confidentiality

Sales kits, pricing, prospect lists, and product access given to you exist so you can sell. They are not yours to publish or pass on.

Free product access issued with a listing is for your own evaluation and demos, not for resale or sharing.

Ending it

Stop selling a listing whenever you like. Prospects you registered stay yours until their window closes.

A company can end its listing. Commission on deals already closed and paid is still owed to you.

Liability, law, and contact

You are responsible for your selling conduct and for complying with advertising, privacy, anti-spam, consumer-protection, licensing, and other laws that apply to your outreach. Nothing in this agreement excludes a right or remedy that applicable law does not allow us to exclude.

This agreement is governed by the laws applicable in Québec and the federal laws of Canada applicable there, subject to mandatory law. Legal notices may be sent to GARCINI MEDIA Inc. using the contact details displayed on this page.

This is version 1.4. Seller-agreement and debit-authorization acceptances are recorded with the version and terms presented at the time of acceptance. A material future change may require a new acceptance.
